1. Terms and Definitions
1.1. Terms and Conditions – these Terms and Conditions. The current version of the Terms and Conditions is available at the following link: https://lipss.pl/pl/oferta-ubliczna/. Performing any action on the Website constitutes unconditional acceptance of the Terms and Conditions by the Consumer.
1.2. Seller – LIPSS limited liability company (00-695 Warsaw, ul. Nowogrodzka 50/54 unit 515, Poland, NIP 7011266432, REGON: 542059841). The Seller is at the same time the owner and administrator of the Website.
1.3. Price – the value expressed in a monetary unit in Polish zloty (PLN) which must be paid to the Seller for the Goods. The prices stated on the Website are gross prices (including VAT).
1.4. Registration Form – the form available on the Website which enables the Consumer to set up an Account.
1.5. Consumer – a person who is a consumer with whom a Contract may be concluded within the meaning of Article 22(1) of the Civil Code of the Republic of Poland.
1.6. Account – the Consumer's individual account through which the Seller collects the data provided by the Consumer and sells Goods. Through the Account, the Consumer may:
- place an Order, purchase Goods, and conclude a Contract;
- exercise the right to return or exchange Goods in accordance with the terms of the Terms and Conditions.
1.7. Cart – the electronic cart on the Website in which the Consumer views or edits data relating to the Goods and, if necessary, places an Order and concludes a Contract.
1.8. Privacy Policy – a document setting out the rules for processing personal data. The full text of the Privacy Policy is available at the following link: https://lipss.pl/pl/privacy/. Performing any action on the Website means that the Consumer unconditionally consents to the Privacy Policy; in particular, such consent may be given by the Consumer setting up an Account, completing the Registration Form, purchasing Goods, etc.
1.9. "Cosmetic products" (goods) – the movable items in the goods category available on the Website that the Consumer may purchase in accordance with the Terms and Conditions, namely: decorative cosmetics, lip makeup products, and other cosmetic products.
1.10. Website – https://lipss.pl/. Through the Website, the Seller sells Goods to Consumers, provides information about promotions and Goods, posts the relevant documentation governing the relationship with the Consumer, etc.
1.11. Contract – a distance contract concluded in accordance with Article 2(1) and (2) of the Consumer Rights Act of the Republic of Poland, the subject of which is the sale of Goods to the Consumer. The Contract is deemed concluded at the moment the Consumer makes payment for the Goods and confirmation is sent to the Consumer in the manner set out in these Terms and Conditions.
1.12. Order – the Consumer's notification of an intention to purchase Goods through the Website. When placing an Order, the Consumer must provide the following information:
- last and first name;
- data relating to the Goods;
- telephone number;
- e-mail address;
- full delivery address for the Goods.
The purpose of placing an Order is to purchase Goods from the Seller and to conclude a Contract. An Order may be placed through the Account or in another manner set out in the Terms and Conditions. A necessary condition for purchasing Goods is that the Consumer reads and accepts the provisions of these Terms and Conditions and the Privacy Policy.
2. General Provisions
2.1. These Terms and Conditions set out the rules for placing Orders, selling/returning Goods, as well as other conditions.
3. Setting Up an Account
3.1. Registration and the setting up of an Account is done by the Consumer completing the Registration Form. When completing the Registration Form, the following must be provided:
- the Consumer's last and first name;
- the Consumer's e-mail address;
- the Consumer's telephone number;
- the Consumer's country of residence;
- the Consumer's date of birth (optional);
- the address of residence (delivery) of the Goods together with the postal code;
- other additional information (at the Consumer's discretion).
Logging in to the Account is done by entering a login and password.
3.2. A condition for completing the process of setting up an Account by the Consumer is reviewing the provisions of the Privacy Policy and these Terms and Conditions. A necessary condition for completing the registration (creation) of an Account is the Consumer's acceptance of the Privacy Policy and these Terms and Conditions.
3.3. The Consumer is obliged not to disclose to third parties the login and password required to log in to the Account. The Consumer is responsible for any logging in to the Account by third parties in the event of disclosure of the login or password.
3.4. The Consumer acknowledges that in order to set up an Account it is necessary to provide their personal data and to ensure its accuracy.
3.5. At any time, at any hour of the day, without giving any reason and without incurring any fees, the Consumer may delete their Account. If the Account is deleted, all data will be deleted, with the exception of data necessary to handle complaints, inquiries, requests, or proposals. The Consumer's data contained in the Seller's tax documents and related documents will be stored until the expiry of the limitation period for tax obligations in accordance with the tax law of the Republic of Poland.
4. Technical Aspects of Using the Website
4.1. To ensure the proper functioning of the Website, including browsing the available Goods and services, placing Orders, etc., the following are required:
- a mobile device, computer, or tablet with Internet access;
- an active e-mail account;
- cookies enabled in accordance with the information set out in the Privacy Policy;
- a mobile telephone number.
4.2. The Seller hereby points out that the public nature of the Internet and the use of services provided electronically may give rise to the risk of the Consumer's data being obtained and altered by unauthorised persons, and therefore appropriate measures should be taken to minimise this risk. In particular, the Consumer should use antivirus programs and software protecting the identity of Internet users. The Seller never requires the Consumer to provide, in any form, the password to the Consumer's Account.
4.3. The Consumer acknowledges that refusal to accept the provisions of the Privacy Policy or these Terms and Conditions may entail restrictions on the Consumer's purchase of Goods and on the exercise of other rights arising from these Terms and Conditions.
5. Conclusion of the Contract
5.1. Setting up an Account is not necessary to place an Order and purchase Goods (conclude a Contract) on the Website.
5.2. Placing an Order is the Consumer's expression of the intention to conclude a Goods sale Contract with the Seller.
5.3. To place an Order, the Consumer should (without setting up an Account):
- go to the Website;
- select Goods from the available range that suit them price-wise and choose "Add to Cart";
- choose "Proceed to checkout";
- provide their last and first name;
- provide their e-mail address and telephone number;
- provide delivery address details within the Republic of Poland;
- choose one of the available payment methods for the Goods (conclude the Contract);
- complete the placement of the Order.
5.4. To place an Order, the Consumer should (without setting up an Account, using an e-mail address):
- go to the Website;
- select Goods from the available range that suit them price-wise and provide their data:
- last and first name;
- e-mail address and telephone number;
- delivery address within the Republic of Poland;
- choose one of the available payment methods for the Goods (conclude the Contract);
- complete the placement of the Order.
5.5. To place an Order, the Consumer should (together with creating an Account):
- go to the Website;
- create or log in to their Account by entering a username and password;
- select Goods from the available range that suit them price-wise and choose "Add to Cart";
- choose "Proceed to checkout";
- provide delivery address details within the Republic of Poland and/or other countries indicated at the following link: https://lipss.pl/delivery-payment; choose one of the available payment methods for the Goods (conclude the Contract);
- complete the placement of the Order.
5.6. Before proceeding to complete the Order, the Seller determines the total cost of the Goods the Consumer intends to purchase and the delivery time of the Goods. The delivery time of the Goods may change depending on weather conditions or other factors that may affect delivery time.
5.7. After the Consumer places an Order and pays for the Goods (concludes the Contract), the Seller confirms and notifies the Consumer of the shipment of the Goods. Confirmation is made by the Seller sending an appropriate e-mail message to the e-mail address provided by the Consumer when placing the Order. The confirmation indicates the range of Goods, their cost, the delivery time, and other data relating to the Goods.
5.8. The Seller is entitled to partially or fully refuse to sell Goods to the Consumer and conclude a Contract where:
- the Seller does not have the required Goods in stock at the given time;
- the Consumer has not provided information about the delivery address of the Goods;
- the delivery address is located outside the borders of the Republic of Poland;
- the Consumer has not provided their last and first name;
- the Consumer has not provided their e-mail address and telephone number;
- the Seller attempted to contact the Consumer at the e-mail address or telephone number provided over two consecutive business days in order to clarify the data, but no response was received.
5.9. The prices posted on the Website next to the Goods are gross prices and do not include information about the costs of delivering the Goods to the Consumer or any other costs the Consumer will be required to incur in connection with purchasing the Goods and concluding the Contract. The Seller also does not bear the costs of customs clearance of the Goods where the Goods are delivered from outside the territory of the Republic of Poland.
5.10. The Seller reserves the right to update the Prices of Goods available on the Website, whereby the price applicable at the time of placing the Order remains unchanged for the Consumer.
6. Payment Procedure
6.1. More information about the accepted payment methods can be found at the following link: https://lipss.pl/delivery-payment
6.2. To place an Order and pay for the Goods online, the Consumer should have the required amount of funds on their bank card, taking into account the cost of delivery to the Consumer.
6.3. The Consumer consents to the Seller issuing receipts/invoices in electronic form in PDF format, which constitute confirmation of payment for the Goods and conclusion of the Contract. Such electronic receipts/invoices are sent to the e-mail address provided by the Consumer when placing the Order.
7. Delivery of Goods
7.1. Delivery of the Goods to the Consumer within the territory of the Republic of Poland takes place through the following courier companies: https://lipss.pl/delivery-payment. At the same time, the Consumer acknowledges and accepts that each unit of Goods may be delivered at different times and on different days. The Consumer will receive a separate confirmation for each shipment or for several shipments of the Goods.
7.2. Goods purchased through the Website cannot be collected in person (at the Seller's store, representative office, office, branch, etc.).
7.3. Upon the actual handover of the Goods to the Consumer, they are obliged to accept and inspect the Goods. If the Consumer finds defects, deficiencies, shortages, etc., they have the right to draw up an appropriate report with a representative of the courier company and/or to refuse to accept the Goods.
7.4. The costs of delivering the Goods are borne by the Consumer, in accordance with the information presented when placing the order.
In the event of an unsuccessful attempt to deliver the Goods for reasons attributable to the Consumer (e.g. failure to collect the shipment despite prior notification), the Consumer may be charged the costs of re-delivering the Goods.
8. Exchange and Return of Goods
8.1. The Seller undertakes to deliver to the Consumer Goods that can be used for the purposes provided for goods of a similar kind, unless the Consumer was aware of the following defects.
8.2. The Consumer has the right to withdraw from a distance contract without giving a reason within 14 (fourteen) calendar days of receiving the Goods. To meet the deadline, it is sufficient to send the statement of withdrawal before its expiry.
The refund is made using the same payment method that the Consumer used, unless the Consumer has expressly agreed to another method.
The Seller refunds all payments received from the Consumer, including the costs of delivering the Goods (with the exception of additional costs arising from the Consumer's choice of a delivery method other than the cheapest standard delivery method offered by the Seller).
8.2.1. The Consumer acknowledges and accepts that the Goods may be returned to the Seller in the same way in which they were last shipped to the Consumer.
8.3. The direct costs of returning the Goods (courier services, packaging, customs duties, etc.) in the case provided for in point 8.2 of the Terms and Conditions are borne by the Consumer at their own expense.
8.4. The Seller is obliged to accept a complaint in accordance with point 8.2 of the Terms and Conditions and to refund the actual cost of the Goods, provided that the Consumer returns and the Seller receives the Goods. The refund is made after the Seller inspects the Goods and within 14 (fourteen) calendar days of the date the Seller receives the Goods. The Seller is entitled to refuse to satisfy the Consumer's right arising from point 8.2 of the Terms and Conditions if the Consumer sent back (returned) to the Seller Goods other than those declared for return, and also if the Goods do not correspond to those offered for sale.
8.5. The Consumer may not exercise the right provided for in point 8.2 of the Terms and Conditions where:
- the Consumer consented to receiving defective or used Goods, or Goods whose shelf life is about to expire. As a rule, such Goods are sold at a lower (promotional) Price than similar Goods without defects and unused;
- the Goods are perishable or have a short shelf life;
- the Goods are delivered to the Consumer in sealed packaging which, once opened, cannot be returned for health or hygiene reasons, if the packaging was opened after delivery to the Consumer;
- the Goods were used contrary to their instructions;
- the Goods do not correspond to the appearance presented or were damaged by the Consumer;
- the notification conditions under point 8.6 of the Terms and Conditions were breached;
- in other cases provided for by the laws in force in the Republic of Poland.
8.6. If the Consumer finds defects (faults) in the Goods, the Consumer may file a complaint under the warranty within 2 (two) years of the date the Goods were released, unless the shelf life of the Goods is shorter. In such a case, the Buyer has the right to:
- have the Goods exchanged for similar ones or have their value reduced;
- return the Goods to the Seller and receive a refund;
- have the defects in the Goods removed.
8.6.1. The Consumer accepts and understands that the Goods may be returned to the Seller in the same way in which they were last shipped to the Consumer. Returning the Goods to the Seller's store, branch, office, or representative office is not possible.
8.7. The cost of exchanging defective Goods in accordance with point 8.6 of the Contract is borne by the Seller.
8.8. The Seller undertakes to fulfil the requirement provided for in point 8.6 of the Terms and Conditions within a reasonable time and without undue inconvenience to the Consumer. The Seller undertakes to satisfy the claim and/or refund the Consumer in the cases provided for in point 8.6 of the Terms and Conditions, provided that the Consumer returns the Goods and the Seller receives them. Such a refund/exchange/removal of defects in the Goods will take place after they have been inspected and within 14 (fourteen) calendar days of the date the Seller receives the Goods from the Consumer. The Seller has the right to refuse to satisfy the Consumer's right arising from point 8.6 of the Terms and Conditions if the Consumer sent back (returned) to the Seller a Product other than that declared for return or exchange.
8.9. The Seller may refuse to satisfy one of the Consumer's rights provided for in point 8.6 of the Terms and Conditions where eliminating the defects in the Goods is economically impractical and delivering similar Goods to the Consumer is economically feasible. The Seller may also refuse to exchange the Goods if no such Goods are available in the Seller's warehouse.
8.10. To exercise the right provided for in point 8.2 and point 8.6 of the Terms and Conditions, the Consumer should submit an appropriate request (demand) to the Seller:
- by sending a message to the following e-mail address: hello@lipss.pl and delivering the completed document.
8.11. The request provided for in point 8.10 of the Terms and Conditions must necessarily contain:
8.11.1. in the case provided for in point 8.6 of the Terms and Conditions:
- the Consumer's last and first name;
- the Consumer's contact telephone number and e-mail address;
- the date the defect in the Goods was detected;
- a video recording and/or photo of the Goods;
- proof of purchase of the Goods from the Seller;
- a brief description of the circumstances.
8.11.2. in the case provided for in point 8.2 of the Terms and Conditions:
- the Consumer's last and first name;
- the Consumer's contact telephone number and e-mail address;
- proof of purchase of the Goods from the Seller;
- a video recording and/or photo of the Goods;
- a brief description of the circumstances.
8.12. The Seller is obliged to respond to the Consumer's request (demand), submitted in accordance with points 8.2 and 8.6 of the Terms and Conditions, within 14 (fourteen) calendar days. The Seller's failure to respond within the above period means that the demand is deemed to have been satisfied.
9. Pre-Litigation (Out-of-Court) Complaint Handling
9.1. More information about the Consumer's option to use a pre-litigation (out-of-court) method of complaint handling can be found on the websites of the district (municipal) consumer ombudsmen. Link to the website of the Office of Competition and Consumer Protection: https://uokik.gov.pl/.
9.2. The Consumer has the following rights to resolve a dispute with the Seller:
- referring the matter to the locally competent common court in accordance with Article 37 of the Trade Inspection Act;
- referring the matter to the voivodeship inspector of the Trade Inspection in accordance with Article 36 of the Trade Inspection Act.
9.3. The Consumer may use free assistance in resolving a dispute with the Seller by using the free assistance of the district (municipal) consumer ombudsman.
9.4. To resolve a dispute amicably, the Consumer may use the out-of-court methods of complaint handling and pursuing claims available in Poland (ADR – Alternative Dispute Resolution), in particular by submitting an application to the competent Voivodeship Trade Inspectorate.

11. Final Provisions
11.1. The provisions of these Terms and Conditions are available to everyone free of charge and without time restrictions.
11.2. The Terms and Conditions may be amended in the following cases:
- adapting the Terms and Conditions to the provisions of law;
- a change in the rules governing the operation of the Website and the sale of Goods (conclusion of the Contract);
- a change in the payment, delivery, or return procedure for the Goods;
- a change in the operation of the Website that is necessary to maintain security.
11.3. Each Consumer who has an Account will be informed of changes to the Terms and Conditions by a message sent to the e-mail address previously provided to the Seller. Such notifications will be sent no later than 30 (thirty) calendar days before the changes to the Terms and Conditions enter into force. If the Consumer does not accept the new changes, they have the right to refuse them. In such a case, the Consumer understands that such a refusal may result in the Seller restricting or refusing the use of the Service or the purchase of Goods (conclusion of the Contract).
11.4. The Consumer is obliged to use the Website in a manner consistent with the requirements of the law and good practice, and not to distribute content of an unlawful nature. In the event of a breach of this clause, the Seller has the right to restrict or block access to the Service, as well as to refuse to sell Goods.
11.5. By these Terms and Conditions, the Seller informs the Consumer that all content available on the Website constitutes a work within the meaning of the Act on Copyright and Related Rights and other European Union regulations. At the same time, the Seller informs the Consumer that the distribution of content by the Consumer without the Seller's consent, except for the use of content within the scope of permitted personal use, constitutes an infringement of the Seller's intellectual property rights and may lead to liability provided for in the laws in force in the territory of the Republic of Poland and other European Union regulations.
11.6. These Terms and Conditions are subject to the law in force in the territory of the Republic of Poland and other legal acts of the European Union.
